The following user agreement ("Agreement") governs the use of the Michigan Business & Professional Association ("MBPA") and the Michigan Food & Beverage Association ("MFBA") Web Site ("MBPA/MFBA Web Site"). Please read the rules contained in this Agreement carefully, as your use of the MBPA/MFBA Web Site constitutes your acceptance without modification of the terms, conditions, and notices contained herein. If you cannot agree with these rules, please do not use the MBPA/MFBA Web Site.

Your failure to follow these rules, whether listed below or in bulletins posted at various points on the MBPA/MFBA Web Site, may result in termination of your access to the MBPA/MFBA Web Site, without notice, in addition to any other remedies reserved by your internet service provider.

MODIFICATION OF THESE TERMS OF USE

These rules may be modified by the Michigan Business and Professional Association and Michigan Food and Beverage Association from time to time. MBPA and MFBA reserve the right to change the terms, conditions, and notices under which the MBPA/MFBA Web Site is offered, including but not limited to any charges associated with the use of the MBPA/MFBA Web Site. Notice of revisions to this Agreement will be announced on this page. You are responsible for regularly reviewing these terms and conditions. Continued access to the MBPA/MFBA Web Site by you will constitute your acceptance of any changes or revisions to this Agreement.

PERSONAL AND NON-COMMERCIAL USE LIMITATION

Unless otherwise specified, the Michigan Business and Professional Association and Michigan Food and Beverage Association Web Sites are for your personal and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the MBPA/MFBA Web Site.

LINKS TO THIRD PARTY SITES

Michigan Business and Professional Association and Michigan Food and Beverage Association encourage their members to establish web sites and offers to link such web sites to and from the MBPA/MFBA Web Site. The MBPA/MFBA Web Site may contain links to other web sites, including but not limited to member web sites ("Linked Sites"). Linked sites are not under the control of MBPA and MFBA and MBPA and MFBA are not responsible for the content of any linked site, including, without limitation, any link contained in a linked site, or products purchased from a linked site, or any modifications made to a linked site. MBPA and MFBA are providing links to additional web sites to you as a convenience, the inclusion of any link does not imply endorsement by MBPA and/or MFBA of the site, products offered at that site or any association with other web site operators. You acknowledge that MBPA and MFBA have not reviewed the content of all sites linked to this web site and are not responsible for the contents or actions of any other sites linked from the MBPA/MFBA Web Site and does not endorse them. Any access to linked sites is at your sole risk.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the Michigan Business and Professional Association or Michigan Food and Beverage Association Web Sites, you warrant to MBPA and MFBA that you will not use the MBPA/MFBA Web Site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the MBPA/MFBA Web Site in any manner which could damage, disable, overburden, or impair the MBPA/MFBA Web Site or interfere with any other party's use and enjoyment of the MBPA/MFBA Web Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided through the MBPA/MFBA Web Site.

USER COMMUNICATIONS

The Michigan Business and Professional Association and Michigan Food and Beverage Association Web Sites may contain various communications services, including bulletin board services, chat areas, news groups, forums, communities, personal or member web pages, calendars, and/or other message or communications facilities designed to enable you to communicate with the public at large or with a group. In using such communications services, you shall not post or transmit through the MBPA/MFBA Web Site any material which violates or infringes in any way upon the rights of others, which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rates, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law, or which, without the MBPA and MFBA's express prior approvals, contains advertising or any solicitation with respect to products or services. Further, you may not place on the MBPA/MFBA Web Site any material that is encrypted or, in the MBPA and MFBA's sole opinions, constitutes junk mail or unauthorized advertising. You are responsible for insuring that any material you provide to the MBPA/MFBA Web Site or post on the MBPA/MFBA Web Site, including but not limited to text, photographs, and sound, does not violate the copyright, trademark, trade secret or any other personal or proprietary rights of any third persons or is posted with the permission of the owner(s) of such rights.

MBPA and MFBA have no obligation to monitor information posted to the MBPA/MFBA Web Site. However, MBPA and MFBA reserves the right to review materials posted to the MBPA/MFBA Web Site and to remove any materials in its sole discretion. MBPA and MFBA reserve the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in MBPA and MFBA's sole discretions.

USE OF MATERIALS SUPPLIED BY YOU

Postings to and communications with the Michigan Business and Professional Association and Michigan Food and Beverage Association Web Sites are not private. You grant MBPA and MFBA the unrestricted right to use, reproduce, modify, translate, transmit and distribute any material you supply or communicate to MBPA and MFBA (including your identity and information about you) in any medium, (now in existence or hereafter developed) and for any purpose, including commercial uses, and to authorize others to do the same. 

MBPA and MFBA advises users to always use caution when giving out any personally identifying information about themselves or their children on any web site. MBPA and MFBA does not control nor endorse the content, messages or information that may be found on any bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars and/or other message or communication facilities, and therefore disclaims any liability with regard to any actions resulting from your participation in these communication services. You agree that MBPA/MFBA is not responsible, and shall have no liability to you, with respect to any information or materials posted by others, including defamatory, offensive or illicit materials.

INDEMNIFICATION

You agree to indemnify Michigan Business and Professional Association and Michigan Food and Beverage Association, their affiliates, employees, agents, members, and representatives, and to hold them harmless, from any and all claims and liabilities (including attorney's fees) which may arise from your submissions, from your unauthorized use of material obtained through the MBPA/MFBA Web Site, or from your breach of this agreement, or from any such acts through your use of the MBPA/MFBA Web Site.

DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY

YOU ACKNOWLEDGE THAT YOU ARE USING THE MICHIGAN BUSINESS AND PROFESSIONAL ASSOCIATION AND MICHIGAN FOOD AND BEVERAGE ASSOCIATION WEB SITES AT YOUR OWN RISK. THE SERVICE IS PROVIDED "AS IS", AND MBPA AND MFBA, THEIR AFFILIATES AND MEMBERS, HEREBY EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF ACCURACY,RELIABILITY, TITLE, MERCHANTABILITY, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER WARRANTY, CONDITION, GUARANTEE OR REPRESENTATION, WHETHER ORAL, IN WRITING OR IN ELECTRONIC FORM, INCLUDING BUT NOT LIMITED TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION CONTAINED THEREIN OR PROVIDED BY MBPA AND MFBA. MBPA AND MFBA, THEIR AFFILIATES AND MEMBERS, DO NOT REPRESENT OR WARRANT THAT ACCESS TO THE MBPA/MFBA WEB SITE WILL BE UNINTERRUPTED OR THAT THERE WILL BE NO FAILURES, ERRORS OR OMISSIONS, OR LOSS OF TRANSMITTED INFORMATION, OR THAT NO VIRUSES WILL BE TRANSMITTED ON THE SERVICE.

MBPA AND MFBA, THEIR AFFILIATES AND MEMBERS, SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, ALLEGEDLY SUSTAINED, ARISING OUT OF YOUR ACCESS TO OR INABILITY TO ACCESS THE SERVICE, INCLUDING FOR VIRUSES ALLEGED TO HAVE BEEN OBTAINED FROM THE SERVICE, YOUR USE OF OR RELIANCE ON THE SERVICE OR ANY OF THE INFORMATION OR MATERIALS AVAILABLE ON THE SERVICE, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TERMINATION

Michigan Business and Professional Association and Michigan Food and Beverage Association have the right to terminate your ability to access the MBPA/MFBA Web Site, for any reason, without notice.

JURISDICTION

You agree that this agreement, for all purposes, shall be governed and construed in accordance with the laws of the state of Michigan applicable to contracts to be wholly performed therein, and any action based on or alleging a breach of this agreement must be brought in a state or federal court in Michigan. In addition, you agree to submit to the personal jurisdiction and venue of such courts.

If you do not agree to the terms contained in this agreement, please exit the Michigan Business & Professional Association and the Michigan Food & Beverage Association Web Site.
